I currently have about $200,000-$250,000 of securities I am putting in myself and have about $1-2 million in prospective clients from family. I do want to expand as soon as possible to outside family clients. I’ve contacted one of the larger prime brokers and they’ve asked for a business plan and a presentation. I wanted to know what is needed to get everything started, where to start, and if I have enough money just from my securities to get things flowing in the first year?

Pled nolo-contendre to 1 charge of Florida state felony 1 due to lack of funds to continue legal process.  Restitution and probation.  No financial licenses or RIA.  Would like to start Hedge Fund based on extremely successful long term track record of forex trading team. Your help is certainly appreciated.

Open a company as a holding company
own the ordinary shares by you
issue redeemable preference shares to investors so you maintain control
Run the business as if you manage the pool of money
So technically, the investors are buying into your company and by law you do not need licence since you are not providing service traditionally.
This would be very cost effective for budding managers to create a track record for a start.
Am I missing anything or is this perfectly fine?

is there a limit on the stock percentage of a company hedge funds can own? or there is a limit of the hedge funds AUM that can be invested in only one company? I mean it is mandatory by law or it relies on the strategy of the fund and managers are free to choose.
